Contract for Installation of Parts and Labor

This agreement is entered into in South Houston, Texas made between _Mars Bar (sp?)___ (hereafter called “Client”) located at address: __19285 Old Houston Rd, Conroe, TX 77302__ and Carbonics, INC. (hereafter called “Carbonics”) located at 506 Nebraska St, South Houston, Texas 77587.

Carbonics agrees to provide parts and labor based on the following terms and conditions:

Client shall provide Carbonics with ________ of the estimated parts and labor cost of thto initiate this contract.
The Client made need to pay additional money for contract services or parts that fall outside of the actual Beer System. Beer System includes Towers, Faucets, trunk line, metering systems, co2 or nitrogen systems, blending technologies, wall panels with pumps, fobs, and regulators, glycol chillers, cold plates, and co2 monitors/alarms. Countertops, ice-makers, walk-in coolers, custom cabinetry, glass tenders, glass chillers, soda and liquor systems, and bottle coolers can all be supplied and installed; but most of those items must be paid in advance or upon delivery.

The remainder of the costs shall be remitted by the Client to Carbonics upon the completion of the job. The job will not be completed without payment, and all equipment belongs to Carbonics until the final bill is paid in full. If no one is available to make payment the work will not be completed and the Client will be charged an additional $300.00 re-scheduling fee.
Carbonics and the Client agree that in the case of a CONTRACT for a flat fee, Carbonics will make best efforts to perform the work within the allotted time quoted. Furthermore, a CHANGE ORDER must be signed by the Client if the Client changes the scope of the work in a manner that incurs an additional expense of time or material.
Dispute Resolution: All disputes shall be settled in Harris, County, TX in accordance with Texas Law. The prevailing party shall have the right to collect from the other part its reasonable costs and necessary disbursements and attorney's fees incurred in enforcing this Agreement.
The term of this Agreement shall commence upon the date of its acceptance by the Client. Deposits must be paid before Carbonics will order equipment or schedule a Service Crew.

Until this estimate is made into a firm quote, the prices below are our best estimate based on the last information we had. Prices may change as the Vendors change their product offerings.
Roughly $10,300 (plus tax, plus shipping for the cooler panels) Not including labor for the actual assembly. I should have that number within a day or so. 2-3 weeks lead time to deliver the actual parts. 1 week lead time to schedule install. Install would most likely be by Valderamma AC, one of our business partners. 5 year warranty on compressor.
Completed Tasks: Wednesday 8/15/18: Met with Steven and discussed layout options. Thursday 8/16/18: Requested walk-in cooler quotes from Enterprise, Warren, and Bush (Bush responded) Friday 8/17/18: Enterprise response arrived (they are too busy). Created to-scale model for cooler layout within 12' X 10' space. Thursday 8/23/18: Firm price of $15,500 for walk-in Cooler, including all hardware and installation. Firm prices for towers also sent on email yesterday. Wednesday 8/29/18: Steven is waiting to hear back from an AC Vendor. We'll go with whoever has the best price. Valderamma AC has submitted a quote in writing for $15,500.00 We're also waiting to see about the tower. Anticipated: Customer will select tower option and give a go or no go on walk-in cooler. 	Miscellaneous Parts There are hundreds of fittings, clamps, brackets, ties, splicers, adapters, types of tapes, types of insulation, sealers, gap fillers, etc that are used in every installation. *Pricing for estimates or quotes is an educated estimate, not an exact figure unless specified as "flat fee." Not having product, power & water at the time of installation will result in additional trip charges. Estimated installation does not include electrical, plumbing, tubing chase core drilling, or cutting of specialty countertops. No installation work will begin if a responsible party (decision maker) is not available on site. End user is responsible for adequate ventilation & air circulation of all air cooled equipment per manufacturer's specifications.
